SAT clears Rs. 3,143‑crore ZEEL fundraise with penalty‑deposit condition

The Securities Appellate Tribunal has allowed ZEE Entertainment Enterprises Ltd (ZEEL) to proceed with its Rs. 3,143‑crore fundraise, granting interim relief that clears the way for the company’s preferential warrant issue to Sunbright Mauritius Investments. The order follows SEBI’s earlier restrictions, which had stalled the capital‑raising exercise.

SAT’s direction permits the fundraise on the condition that ZEEL and Punit Goenka deposit SEBI’s full penalty within the one‑week window set by the tribunal. The extension gives the company limited time to complete the warrant issuance and secure the capital it has been pursuing to strengthen its balance sheet.

The tribunal’s ruling does not alter SEBI’s broader market‑access bans, but creates a specific carve‑out enabling ZEEL to move ahead with the preferential issue. The fundraise is expected to support the company’s ongoing restructuring and liquidity plans.
